摘  要：20世纪90年代以来，全球经济一体化得到了迅猛发展，越来越多的企业走出国门，通过跨国并购扩大生产规模、开拓国际市场、跨国并购使企业间的资源得到整合。由于跨国并购可以给企业带来多重绩效，因此激发了企业一轮又一轮的并购热潮，以跨国公司为主体的跨国并购活动更是异常活跃，对世界经济产生了不可估量的影响。本文从跨国并购的概念出发，分析我国企业跨国并购的现状、进行跨国并购的动因、跨国并购存在的风险以及如何规避跨国并购的风险。

Research on Risks of Cross-Border Mergersand Acquisitions for Chinese Enterprises
Abstract: Since the 90s of the 20th century, global economic integration has been rapid development, more and more enterprises to go abroad, through cross-border mergers and acquisitions to expand production scale, develop the international market, international mergers and acquisitions so that integration of resources among enterprises. Cross-border M & As can bring multiple business performance, it inspired another round of corporate mergers and acquisitions boom, with multinational corporations as the main cross-border M & A activity is very active on the world economy had an immeasurable impact. In this paper, the concept of cross-border mergers and acquisitions, analyzing the status of corporate cross-border mergers and acquisitions, the cross-border M & A, cross-border M & A risks and how to avoid the risk of cross-border mergers and acquisitions.
