摘 要：中国企业的海外并购相对于西方国家而言，起步较晚，对跨国并购没有清楚、全面的认知，失败率较高，有很多问题需要解决。本文将对海外并购现状、海外并购战略类型以及选择并购战略的依据进行详细的阐述，结合中铝收购力拓股权这一案例进行海外并购战略分析，通过中铝收购力拓股权的背景分析海外并购战略失败的原因及对我国企业海外并购战略的进一步思考。

Research on Overseas Mergers and Acquisitions Strategies of Chinese Enterprises
Abstract：The M&A activity compared the West, Chinese enterprises overseas acquisitions late start. Many Chinese enterprises transnational mergers and acquisitions lack of a comprehensive, profound and the awareness of the overseas acquisition strategy implemented with great passiveness and randomness. There are many issues that must be resolved. This paper attempts to provide a detailed analysis and discussion of the hot issues on the character and actuality of Chinese enterprises overseas M &A ， the style of Chinese enterprises overseas M &A and the gist of choosing the M &A strategies. It also tries to explore the Chinese enterprises overseas M&A problems connection with the classic business case of Chinese Aluminum acquisition of Rio Tinto’s equity, aiming at exploring for the Chinese enterprises overseas acquisition strategies that can be taken, according to the background of Chinese Aluminum acquisition of Rio Tinto’s equity, analysis the failure reasons of overseas M&A strategies and the strategy of Chinese Overseas M & A for further reflection as reference.
